Terms of Service

Last updated: October 27, 2026

1. Scope and provider

These Terms of Service ("Terms") govern the use of the moreflow platform, including the web and mobile apps, the API, and all related services (together, the "Service").

The Service is provided by:

valie media GmbH
Brühlscher Weg 91
47608 Geldern, Germany
District Court Kleve, HRB 16313
Email: [email protected]

("we", "us"). The contracting party is the company that creates a moreflow account ("Customer", "you").

These Terms apply exclusively. Conflicting or additional terms of the Customer do not apply, even if we do not expressly object to them. Individual agreements, such as an Enterprise order form, take precedence over these Terms.

The following documents form part of the contract:

  • our Acceptable Use Policy,
  • the data processing agreement (DPA) under Art. 28 GDPR available in the app, and
  • the plan, prices, and limits shown on our pricing page or in an individual order at the time of booking.

2. Business customers only

moreflow is offered exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. By signing up, you confirm that you are using the Service for your commercial or independent professional activity and not as a consumer.

The person who signs up confirms that they are authorized to conclude this contract on behalf of the Customer.

3. Conclusion of the contract and trial

The presentation of the Service on our website is not a binding offer. The contract is concluded when you complete the sign-up, accept these Terms, and we activate your account.

Paid plans can be tested during a free trial period, the length of which is shown during sign-up. A valid payment method is required to start the trial. Unless you cancel before the trial ends, the subscription continues as a paid subscription for the plan you selected, and the first payment is charged to the stored payment method. We will remind you by email before the trial ends.

Usage-based services that incur costs for us, such as phone numbers, may be charged from the first day even during the trial. We show these costs in the app before you book them.

4. Scope of the Service

moreflow is a cloud-based software platform for sales and customer management, including CRM, scheduling, offers and contracts with electronic signature, invoicing and online payments, automations, communication channels, and AI-powered features. The specific functions and limits (for example, number of users, sending domains, storage, or included credits) depend on the booked plan.

We provide the Service as software-as-a-service over the internet. You do not receive a copy of the software, apart from the mobile apps, which you may use only to access the Service.

We continuously develop the Service. We may change, replace, or discontinue features as long as the core functionality of the booked plan is preserved and the change is reasonable for you. We will announce material changes that adversely affect you in advance.

5. Availability and support

We operate the Service with care and aim for high availability. Unless a specific availability has been agreed in an individual agreement, we do not guarantee any particular uptime. Interruptions may occur for maintenance, security updates, or due to circumstances beyond our control, such as outages at hosting or network providers. We carry out planned maintenance at times of low usage whenever possible. You can see the current system status at status.moreflow.io.

Support is available via [email protected] and the in-app support.

6. Accounts, users, and access

You are responsible for keeping access credentials confidential, for the activities carried out through your account, and for assigning roles and permissions to your users. Each user must have their own login; sharing logins is not permitted. You must inform us without delay if you suspect that credentials have been misused.

The number of users is limited by the booked plan. You are responsible for ensuring that your users comply with these Terms and the Acceptable Use Policy.

7. Fees and payment

The fees for the booked plan result from our pricing page or the individual order at the time of booking. All prices are net prices plus the applicable statutory VAT.

Subscription fees are charged in advance for the selected billing period (monthly or annual) via our payment service provider Stripe. The subscription renews automatically for the same billing period unless it is cancelled.

Usage-based charges. Some services are charged based on usage, such as SMS, phone calls, phone numbers, additional emails, and AI, video, or research features. These are settled via a prepaid usage balance in your account. Each plan includes a monthly usage credit, which does not carry over to the following month. You can top up the balance manually or automatically; you can set a monthly limit for automatic top-ups in the app. When the balance is used up, paid actions are paused. Ongoing sessions, such as a call or a webinar that is already running, are completed and may cause a negative balance, which you must settle. The current usage prices are shown in the app.

Upgrades and downgrades. Upgrades take effect immediately; the difference is charged pro rata for the current billing period. Downgrades and switching from annual to monthly billing take effect at the end of the current billing period.

Late payment. If a payment fails, you retain full access for a grace period of 7 days. If the outstanding amount is not paid by then, your account switches to read-only mode: you can still view and export your data and update your payment method, but you cannot make changes until payment is received. Our other rights in the event of default remain unaffected.

Invoices are provided electronically in the app.

8. Price changes

We may adjust subscription fees and usage prices with effect for the future, in particular to reflect changes in the costs of third-party providers, infrastructure, or personnel. We will notify you of price increases at least 30 days in advance by email or in the app.

Changes to subscription fees take effect at your first renewal that is at least 30 days after the notice. Changes to usage prices take effect 30 days after the notice. Usage already charged is not affected. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect. Price reductions may take effect immediately.

9. Term and termination

The contract runs for the selected billing period and renews automatically for the same period. You can cancel at any time in the app, with effect at the end of the current billing period. Until then, you can withdraw the cancellation. Fees already paid for the current billing period are not refunded unless required by law.

We may terminate the contract with a notice period of 30 days to the end of a billing period.

The right of either party to terminate for good cause remains unaffected. Good cause for us exists in particular if you seriously or repeatedly violate these Terms or the Acceptable Use Policy, or are in default of payment for more than 30 days despite a reminder.

10. Your content and data

All data that you or your users enter into or upload to the Service ("Customer Data") remains yours. You grant us the non-exclusive right, limited to the term of the contract, to store, process, and transmit Customer Data to the extent necessary to provide the Service.

You are responsible for ensuring that you have the necessary rights and legal bases for Customer Data, including consents of your contacts.

Where we process personal data on your behalf, we act as your processor in accordance with the data processing agreement. Information about our own data processing can be found in our Privacy Policy, and our core infrastructure providers are listed on the Subprocessors page.

Export and deletion. The account owner can export Customer Data at any time in a common machine-readable format. After the end of the contract, your account remains accessible in read-only mode for at least 30 days so you can export your data. We then delete Customer Data in accordance with the data processing agreement, unless statutory retention obligations require us to keep it.

We back up the Service regularly for operational security. These backups are not a substitute for your own data backup; for business-critical data, you are responsible for regular exports.

11. Your obligations when using the Service

The Service is a tool. You remain responsible for the legal compliance of how you use it, in particular for:

  • the content and correctness of the invoices, offers, and contracts you create, including tax and accounting requirements,
  • obtaining consent where required for emails, SMS, WhatsApp messages, and calls, in particular under § 7 of the German Act Against Unfair Competition (UWG),
  • informing the other party and obtaining their consent before recording calls,
  • providing your own privacy notices and legal notices to your contacts, for example on booking pages, forms, and chatbots.

The detailed rules of use, including prohibited activities, are set out in our Acceptable Use Policy.

12. Third-party services and integrations

Some features require you to connect your own accounts with third-party providers, such as Stripe or PayPal for payments, Google or Microsoft for calendar and email, Meta for WhatsApp, Zoom, or advertising platforms. In these cases, a separate contract is concluded between you and the respective provider, and their terms and fees apply. In particular, payments you receive from your clients via Stripe Connect are processed by Stripe under Stripe's terms; we are not a party to these payment transactions.

When you activate an integration, we transmit the data required for it to the provider. We are not responsible for the availability, functionality, or changes of third-party services, and we may adapt or discontinue integrations if a provider changes or discontinues its service.

13. Electronic signatures

Contracts and offers signed in moreflow use a simple electronic signature within the meaning of the eIDAS Regulation. It is not an advanced or qualified electronic signature. You are responsible for checking whether this form is sufficient for your contract. It is not suitable where the law requires written form or a qualified electronic signature.

14. AI features

moreflow includes features based on artificial intelligence, which we provide with the help of selected AI providers. AI-generated content can be incorrect, incomplete, or inappropriate. You must review it before using it, sending it, or relying on it for decisions.

You are responsible for content you generate and publish with AI features, including any labelling and transparency obligations, for example under Art. 50 of the EU AI Act for AI-generated images, video, or audio depicting real persons or realistic scenes.

15. API

Depending on the plan, you can access the Service via our API and MCP interface. The number of API tokens, permissions, and request limits (rate limits) depend on the booked plan and are shown in the app and our documentation. You must keep API tokens secure and must not use the API to circumvent plan limits or put an excessive load on the Service. We may change the API with reasonable notice; we will announce changes that break existing integrations in advance whenever possible.

16. Suspension

We may temporarily block access to the Service in whole or in part if there are concrete indications that you or your users are violating these Terms, the Acceptable Use Policy, or applicable law, or if the security or integrity of the Service is at risk. We will take your legitimate interests into account, limit the block to what is necessary, and inform you without delay. The block will be lifted as soon as the reason no longer applies.

17. Intellectual property

All rights to the Service, including the software, design, documentation, and trademarks, remain with us or our licensors. For the term of the contract, you receive a non-exclusive, non-transferable, non-sublicensable right to use the Service for your own business purposes within the scope of the booked plan.

You may not copy, decompile, or reverse engineer the software, except to the extent permitted by mandatory law (§§ 69d, 69e of the German Copyright Act), and you may not make the Service available to third parties as your own service.

If you give us feedback or suggestions, we may use them freely to improve the Service.

18. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body, or health, under the German Product Liability Act, and to the extent that we have assumed a guarantee.

In cases of slight negligence, we are only liable for the breach of an essential contractual obligation (cardinal obligation), meaning an obligation whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely. In this case, our liability is limited to the foreseeable damage typical for this type of contract. In all other respects, liability for slight negligence is excluded.

Strict liability for defects that already existed at the time the contract was concluded (§ 536a (1) alternative 1 BGB) is excluded.

For loss of data, we are only liable for the effort that would have been required to restore the data if you had backed it up regularly and appropriately to the risk.

These limitations also apply in favor of our employees, representatives, and vicarious agents.

19. Indemnification

You indemnify us against all claims by third parties arising from Customer Data or from your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law, including reasonable legal defense costs. This does not apply if you are not responsible for the violation.

20. Confidentiality

Both parties will keep confidential all non-public information about the other party that they receive in connection with the contract, and will use it only for the purpose of the contract. This obligation continues for three years after the end of the contract. Statutory disclosure obligations remain unaffected.

21. Changes to these Terms

We may amend these Terms with effect for the future if there is a valid reason, in particular due to changes in the law or case law, or the development of the Service. We will notify you of changes in text form at least 30 days before they take effect. The changes are deemed accepted if you do not object before they take effect; we will point this out separately in the notice. If you object, either party may terminate the contract with effect from the date the changes would have taken effect.

Changes to the main obligations, in particular to the scope of services and prices, are not made under this section. Price changes are governed by section 8.

22. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If you are a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the registered office of valie media GmbH. We are also entitled to sue you at your general place of jurisdiction.

These Terms are available in German and English. In the event of contradictions, the German version prevails.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory provisions apply in place of the invalid provision.
